1. Agreement to terms

These Terms of Service ("Terms") govern your use of MedVerity ("Service," "we," "us," or "our"), operated by Signal Loom AI, Inc. ("Company"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What MedVerity is (and isn't)

2.1 What MedVerity does

MedVerity is a medical provider data verification service. We aggregate publicly available professional information about healthcare providers (NPI Registry, state medical board listings, hospital affiliations, medical journal publications) and present it in a unified, source-attributed profile. We also offer a "Fix at the Source" feature that links providers directly to the registry where data corrections can be made.

2.2 What MedVerity does NOT do

⚠️ No PHI permitted. MedVerity is for healthcare PROVIDER professional data only. By using the Service, you agree NOT to submit, upload, transmit, or include in any communication with us:

  • Patient names, initials, or any patient-identifying information
  • Patient health information, diagnoses, treatment plans, lab results, medications prescribed to specific patients
  • Patient case details, clinical notes, or protected health information (PHI) as defined under HIPAA
  • Any information about specific patients that could be considered PHI

If you accidentally submit PHI, we will immediately delete it and notify you within 24 hours. Repeated PHI submission is grounds for immediate account termination.

6. Intellectual property

6.1 Our intellectual property

The Service and all content, features, and functionality (including but not limited to software, text, graphics, logos, and design) are owned by Signal Loom AI, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

6.2 Provider data ownership

You retain all rights to the professional data you submit to MedVerity. By submitting data, you grant MedVerity a non-exclusive, worldwide, royalty-free license to:

Data we aggregate from NPI Registry, state medical boards, hospital websites, and other public sources remains the property of the original sources. We are not asserting ownership of public data.

7. Disclaimers and limitation of liability

7.1 No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MedVerity aggregates publicly available data. We do not independently verify the accuracy of any data point. You are responsible for independently verifying any data before relying on it for medical, credentialing, employment, or other consequential decisions.

7.2 Not a substitute for medical judgment

MedVerity is a data verification service, not a medical advice service. Nothing in the Service constitutes medical advice, diagnosis, or treatment. Always consult directly with a healthcare provider for medical decisions.

7.3 Not a substitute for credentialing

While MedVerity can inform credentialing decisions, it is NOT a substitute for primary source verification (PSV). Credentialing organizations should perform their own PSV using the registry links we provide ("Fix at the Source").

7.4 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDVERITY, SIGNAL LOOM AI, INC., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

10.1 Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

10.2 Informal dispute resolution

Before filing any formal claim, you agree to contact us at legal@medverity.co and attempt to resolve the dispute informally for at least 30 days. We will do the same.

10.3 Small claims court

Either party may bring a qualifying claim in small claims court in the State of Delaware, without first attempting informal resolution.

10.4 Binding arbitration

For any dispute that is not resolved informally or in small claims court, you and MedVerity agree to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration to take place in Delaware.

10.5 Class action waiver

You and MedVerity agree to bring claims against each other only in an individual capacity, and not as a class action, consolidated action, or representative action.

Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property or violation of confidentiality obligations.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (if you have an account) and by updating the "Last updated" date at the top of this page. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may terminate your account.

12. Miscellaneous

12.1 Entire agreement

These Terms (along with the Privacy Policy) constitute the entire agreement between you and MedVerity regarding the Service.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12.3 No waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to any third party.
