Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your use of MedVerity ("Service," "we," "us," or "our"), operated by Signal Loom AI, Inc. ("Company"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What MedVerity is (and isn't)

2.1 What MedVerity does

MedVerity is a medical provider data verification service. We aggregate publicly available professional information about healthcare providers (NPI Registry, state medical board listings, hospital affiliations, medical journal publications) and present it in a unified, source-attributed profile. We also offer a "Fix at the Source" feature that links providers directly to the registry where data corrections can be made.

2.2 What MedVerity does NOT do

• We are not a healthcare provider. MedVerity does not practice medicine, provide medical advice, diagnose conditions, or prescribe treatments.
• We are not a credentialing service. While our data can inform credentialing decisions, it is not a substitute for primary source verification by the credentialing organization.
• We do not provide HIPAA-covered services. MedVerity does not store, process, or transmit Protected Health Information (PHI) as defined under HIPAA. We are not a Business Associate of any HIPAA covered entity.
• We do not warrant data accuracy. We aggregate publicly available data. While we strive for accuracy, we do not guarantee that any data point is current, complete, or error-free.

3. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree NOT to:

• Submit or transmit any Protected Health Information (PHI) or patient health information
• Use the Service to verify, look up, or research specific patients (use a HIPAA-compliant service for that)
• Scrape, crawl, or otherwise systematically harvest data from the Service beyond what we explicitly permit (e.g., MCP server access, public API endpoints)
• Use the Service to make automated medical, credentialing, or employment decisions without independent verification
• Misrepresent your identity or impersonate any other person or entity
• Interfere with or disrupt the Service or its servers, including by introducing viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems connected to the Service
• Use the Service for any illegal purpose or in violation of any applicable laws
• Use the Service to harass, abuse, or harm another person, or to contact any user without their consent

4. Account registration and security

To access certain features, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials (API keys, passwords)
• Promptly notify us at security@medverity.co if you discover any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. Subscriptions, billing, and payment

5.1 Free tier

The free tier (10 API calls per month) is provided at no charge. We reserve the right to modify or discontinue the free tier at any time.

5.2 Paid tiers

Paid tiers (Physician Pro, Practice, Health System) are billed monthly via Stripe. By subscribing, you agree to:

• Pay the applicable fees for your tier
• Provide a valid payment method
• Allow us to charge your payment method for recurring monthly fees

5.3 Cancellation and refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period (no partial-period refunds)
• Pre-paid packs (Pack 1K, 10K, 100K, etc.) are non-refundable once purchased, but credits never expire
• If we terminate your account for ToS violations, no refund will be provided

5.4 Price changes

We reserve the right to change our pricing with 30 days' notice. If you do not agree to a price change, you may cancel before the change takes effect.

6. Intellectual property

6.1 Our intellectual property

The Service and all content, features, and functionality (including but not limited to software, text, graphics, logos, and design) are owned by Signal Loom AI, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.

6.2 Provider data ownership

You retain all rights to the professional data you submit to MedVerity. By submitting data, you grant MedVerity a non-exclusive, worldwide, royalty-free license to:

• Store, process, and display the data as part of the Service
• Display the data publicly on your profile (if you choose to make it public)
• Include the data in aggregated, anonymized analytics (e.g., "X% of cardiologists have outdated board certifications")

This license terminates when you delete the data or close your account, except that we may retain anonymized, aggregated analytics derived from the data.

6.3 Public registry data

Data we aggregate from NPI Registry, state medical boards, hospital websites, and other public sources remains the property of the original sources. We are not asserting ownership of public data.

7. Disclaimers and limitation of liability

7.1 No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the data is accurate, current, complete, or error-free
• Warranties that the Service will be uninterrupted, secure, or free of viruses or harmful components

MedVerity aggregates publicly available data. We do not independently verify the accuracy of any data point. You are responsible for independently verifying any data before relying on it for medical, credentialing, employment, or other consequential decisions.

7.2 Not a substitute for medical judgment

MedVerity is a data verification service, not a medical advice service. Nothing in the Service constitutes medical advice, diagnosis, or treatment. Always consult directly with a healthcare provider for medical decisions.

7.3 Not a substitute for credentialing

While MedVerity can inform credentialing decisions, it is NOT a substitute for primary source verification (PSV). Credentialing organizations should perform their own PSV using the registry links we provide ("Fix at the Source").

7.4 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEDVERITY, SIGNAL LOOM AI, INC., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use of (or inability to use) the Service
• Any damages arising from inaccurate data, third-party content, or unauthorized access
• Any damages arising from disputes between you and a third party (e.g., a patient, employer, or credentialing organization)

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless MedVerity, Signal Loom AI, Inc., and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your submission of any PHI or patient health information to the Service
• Your use of the Service in violation of any applicable law
• Your violation of any third party's rights
• Any claim that data you submitted infringes on a third party's intellectual property or other rights

9. Termination

9.1 By you

You may terminate your account at any time by contacting team@medverity.co or through the account settings.

9.2 By us

We may suspend or terminate your account at any time, with or without notice, for any reason, including:

• Violation of these Terms (including PHI submission)
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• At our discretion, with 30 days' notice for non-violation terminations

9.3 Effect of termination

Upon termination:

• Your access to the Service will cease
• We will delete your account data within 30 days (except as required to retain by law)
• Pre-paid pack credits expire upon termination (we may, at our discretion, refund them on a pro-rata basis)
• The "Fix at the Source" page may remain publicly accessible as it's based on public data
• Sections 6 (Intellectual Property), 7 (Disclaimers), 8 (Indemnification), 10 (Disputes) survive termination

10. Disputes and governing law

10.1 Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

10.2 Informal dispute resolution

Before filing any formal claim, you agree to contact us at legal@medverity.co and attempt to resolve the dispute informally for at least 30 days. We will do the same.

10.3 Small claims court

Either party may bring a qualifying claim in small claims court in the State of Delaware, without first attempting informal resolution.

10.4 Binding arbitration

For any dispute that is not resolved informally or in small claims court, you and MedVerity agree to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration to take place in Delaware.

10.5 Class action waiver

You and MedVerity agree to bring claims against each other only in an individual capacity, and not as a class action, consolidated action, or representative action.

10.6 Exceptions

Either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property or violation of confidentiality obligations.

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (if you have an account) and by updating the "Last updated" date at the top of this page. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may terminate your account.

12. Miscellaneous

12.1 Entire agreement

These Terms (along with the Privacy Policy) constitute the entire agreement between you and MedVerity regarding the Service.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

12.3 No waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to any third party.
